ARTICLES OF INCORPORATION

Organized pursuant to the New Jersey Nonprofit Corporation Act (N.J.S.A. 15A:1-1 et seq.)

 

ARTICLE I – NAME

The name of the corporation is:

ARTICLE II – REGISTERED OFFICE AND REGISTERED AGENT

The registered office of the corporation in the State of New Jersey shall be located at:

903 Wexford Court, Edgewater Park, NJ 08010

The registered agent at such address shall be: Patricia Martin

ARTICLE III – PURPOSE

This corporation is organized exclusively for religious, charitable, and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as amended.

The specific purposes of the corporation include, but are not limited to:

  1. Advancing the Christian faith through teaching, preaching, and ministry.

  2. Conducting worship services, conferences, seminars, and evangelistic outreach.

  3. Publishing and distributing religious materials in print, digital, and media formats.

  4. Providing biblical education, discipleship training, and leadership development.

  5. Supporting domestic and international missions and charitable outreach.

  6. Engaging in community service and charitable activities consistent with the Christian faith.

  7. An annual scholarship award will be awarded to at least one (1) applicant.

The corporation shall not engage in any activities not permitted to be carried out by a corporation exempt under Section 501(c)(3) of the Internal Revenue Code.

 

ARTICLE IV – NONPROFIT NATURE AND LIMITATIONS

No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its trustees, directors, officers, members, or other private persons, except that the corporation shall be authorized to pay reasonable compensation for services rendered and to make payments in furtherance of the purposes set forth herein.

No substantial part of the activities of the corporation shall consist of carrying out propaganda or otherwise attempting to influence legislation.

The corporation shall not participate in or intervene in any political campaign on behalf of or in opposition to any candidate for public office.

 

ARTICLE V – MEMBERSHIP

The corporation shall have no members.

 

ARTICLE VI – BOARD OF TRUSTEES

The management of the corporation shall be vested by a Board of Trustees.

The number of trustees shall not be fewer than three (3), as required by the laws of the State of New Jersey. The exact number of trustees shall be fixed by the Bylaws.

ARTICLE VIII – DISSOLUTION

Upon dissolution of the corporation, assets shall be distributed exclusively for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code.

Any such assets not so disposed of shall be disposed of by the Superior Court of New Jersey in the county in which the principal office of the corporation is then located.

 

ARTICLE IX – LIABILITY

To the fullest extent permitted by the New Jersey Nonprofit Corporation Act, a Trustee of this corporation shall not be personally liable to the corporation for monetary damages for breach of fiduciary duty.

 

ARTICLE X – DURATION

The corporation shall have perpetual duration.
